This letter was sent as the result of a conversation involving Martin McDermott, Maryanne Hayes, Stephen Kotzas and Dennis Knight.
The conversation took place during the annual meeting. As this references matters, that, are specific to the rights of disclosure of
our members, I have included it on this site.

As per direction, by Stephen Kotzas, representing attorney for the Association;
I have expressed, at the annual meeting on January 14, 2015, an objection to the use of proxy forms
used in connection to a solicitation mailed and presented to members. The specific solicitation
contained misleading information, as follows;
As this process of proxy solicitation is clearly in violation of NJ State regulations, proxies received by
use of this form are viewed as invalid.
There was also a technical objection of other proxies presented at the meeting and the following
compromise was developed to be in the best interest of all members of the Association.
As per suggestion and agreeable discussion of Stephen Kotzas, the best solution was to adjourn the
election process to the upcoming quarterly meeting. As also agreed, the process to consist of;

- Mis-representation by use of the Association letterhead.
- Signature of a non-board member, leading to represention of authority to represent the board.
- The use of false statements to create fear and thus coerce members to sign.
As this process of proxy solicitation is clearly in violation of NJ State regulations, proxies received by
use of this form are viewed as invalid.
There was also a technical objection of other proxies presented at the meeting and the following
compromise was developed to be in the best interest of all members of the Association.
As per suggestion and agreeable discussion of Stephen Kotzas, the best solution was to adjourn the
election process to the upcoming quarterly meeting. As also agreed, the process to consist of;
- The Board will notify the members as typical for the upcoming meeting
- The notification will consist of;
- a meeting notice with agenda;
- a list of all candidates for election;
- a new proxy form acceptable to all.
